    Terms and Conditions for Advocates Joining the Wakili AI Network

    1. Introduction

    These terms and conditions ("Terms") govern the relationship between [Your Company Name] ("Wakili AI," "we," "us," or "our") and the individual lawyer or legal entity ("Advocate," "you," or "your") who registers with the Wakili AI network for referral and consultancy services. By joining our network, you agree to comply with these Terms, which incorporate by reference the Code of Conduct as prescribed by the Law Society of Kenya (LSK) and relevant Kenyan laws governing legal practice.

     

    1. Registration and Eligibility

     

    2.1. To be eligible for inclusion in the Wakili AI network, Advocates must:

    • Be actively registered and in good standing with the Law Society of Kenya (LSK).
    • Adhere to the Advocates Act, Cap 16, and other relevant legal statutes and regulations governing legal practice in Kenya.
    • Be willing to provide business contact information and geographical location for referral purposes.
    • Agree to offer legal services at rates that are at least 40% lower than standard consultation fees and 30% lower than typical commercial rates for legal services.

     

    2.2. Advocates must complete the registration process, including submission of valid proof of LSK registration and any other documentation we may require to confirm eligibility.

     

    1. Code of Conduct and Professional Standards

     

    3.1. Advocates must conduct all professional activities in accordance with the highest ethical standards, adhering to the LSK Code of Conduct and relevant professional guidelines.

     

    3.2. Advocates are expected to maintain confidentiality, competency, diligence, integrity, and all other ethical considerations as required by the legal profession in Kenya.

     

    1. Service Delivery and Fees

     

    4.1. Advocates agree to offer legal services to clients referred through the Wakili AI network at the agreed subsidized rates.

     

    4.2. Advocates commit to providing clear, accurate, and timely legal advice and services, respecting the specialised needs and circumstances of each client.

     

    4.3. Fee agreements between Advocates and clients should be transparent, fair, and comply with the guidelines issued by the LSK regarding legal fees and client billing.

     

    1. Data Protection and Privacy

     

    5.1. Advocates must ensure the protection of any personal or sensitive information obtained in the course of service delivery, in compliance with the Data Protection Act, 2019, and related regulations.

    1. Termination and Modification

     

    6.1. Wakili AI reserves the right to remove an Advocate from the network for failure to comply with these Terms, the LSK Code of Conduct, or any applicable laws and regulations.

     

    6.2. Terms may be updated or modified from time to time to reflect changes in policy, law, or operational requirements, with prior notice provided to affected Advocates.

     

    1. Dispute Resolution

     

    7.1. Any disputes arising under these Terms shall be resolved through negotiation or, failing that, arbitration under the Arbitration Act, 1995, before a mutually agreed-upon arbitrator.

     

    1. Acceptance of Terms

     

    8.1. By joining the Wakili AI network, you signify your acceptance of these Terms and commit to upholding the standards and obligations as set forth herein.

      Terms and Conditions for Joining the Pro Bono Network as a Provider

      # 1. Introduction

      Welcome to our Pro Bono Network ("Network"). These terms and conditions ("Terms") are designed to govern your participation as a pro bono legal service provider ("Provider," "you," or "your") within the Network. By agreeing to join our Network, you affirm your commitment to offer legal services on a pro bono basis to individuals or entities in need, under the conditions outlined herein. Your participation is subject to your ongoing compliance with these Terms, applicable laws, and the regulatory requirements of the Law Society of Kenya (LSK).

      # 2. Eligibility and Registration

      2.1. To be eligible to join the Network as a Provider, you must:
      - Be a licensed practicing advocate in good standing with the LSK.
      - Commit to providing pro bono legal services in accordance with the guidelines and standards set forth by both the Network and the LSK's regulations on pro bono legal aid.
      - Submit any required documentation for verification purposes, including proof of LSK registration.

      2.2. By completing the registration process, you affirm your agreement to these Terms and your commitment to uphold the principles of providing pro bono legal assistance within the guidelines established by the Network.

      # 3. Commitment to Pro Bono Services

      3.1. Providers agree to offer legal services without fee or at a significantly reduced fee to individuals and entities qualifying for pro bono assistance as determined by the Network.

      3.2. Providers commit to maintaining the highest standards of legal practice and adhering to the ethical guidelines and professional conduct standards set forth by the LSK.

      # 4. Professional Conduct and Quality of Service

      4.1. Providers must ensure that pro bono services are delivered with the same level of diligence, competency, and professionalism as services provided to paying clients.

      4.2. All interactions with clients, both within and outside the context of the Network, must be conducted with utmost integrity, respect, and confidentiality.

      # 5. Data Protection and Confidentiality

      5.1. Providers must comply with the Data Protection Act, 2019, ensuring the safeguarding of any personal data obtained during the course of providing pro bono services.

      # 6. Limitations and Liabilities

      6.1. The Network does not guarantee the availability of pro bono cases and cannot be held liable for the frequency, type, or distribution of cases among Providers.

      6.2. Providers are responsible for ensuring that their engagement in pro bono services does not conflict with other professional obligations or ethical standards.

      # 7. Termination

      7.1. Providers may discontinue their participation in the Network at any time, provided that any ongoing pro bono commitments are appropriately concluded or transferred in accordance with ethical and professional standards.

      7.2. The Network reserves the right to terminate a Provider's participation for failure to comply with these Terms, ethical guidelines, or for any professional misconduct.

      # 8. Amendments

      8.1. These Terms may be updated or amended from time to time to reflect changes in legal requirements, Network policies, or the operational needs of the pro bono program. Participants will be notified of any significant changes to these Terms.

      # 9. Acceptance

      9.1. By registering as a Provider in the Network, you accept these Terms and commit to providing pro bono legal services in accordance with the above conditions and any future amendments made to these Terms.
